SOFTWARE DEVELOPMENT AGREEMENT

This Agreement is entered into on 10 September 2026 between — (the "Developer") and — (the "Client") for the project "—".

1. FEES AND PAYMENT

The Client shall pay the Developer a fixed price of — EUR for the services described above.

Invoices are payable within 14 days from the invoice date, unless the Parties agree otherwise in writing.

2. INTELLECTUAL PROPERTY

Upon receipt of full payment, ownership of the source code developed specifically for the Client under this Agreement transfers to —. — retains ownership of pre-existing code, libraries, frameworks and tools used in the development.

Upon receipt of full payment, — assigns to — the rights in the deliverables created specifically for — under this Agreement, to the extent such rights are transferable under applicable law. — retains the rights in pre-existing materials, tools and know-how and grants — a non-exclusive licence to use them as incorporated in the deliverables.

3. THIRD-PARTY COMPONENTS

The software may include open-source or third-party components, each subject to its own licence terms. The Developer will disclose the main third-party components used upon request. The Client is responsible for reviewing the licence terms of any such component before use.

4. REPOSITORY ACCESS

The Developer will grant the Client access to the project source code repository as agreed, and will transfer or maintain such access in accordance with this Agreement.

5. ACCEPTANCE

The Client will test each delivered version within 30 days of delivery and either accept it or describe the required corrections in writing. If no response is given within that period, the delivered version is considered accepted.

6. BUG-FIX PERIOD AND MAINTENANCE

The Developer will correct, free of charge, defects reported within 30 days of delivery that are attributable to the Developer's work. This period does not cover new features, changes in requirements or issues caused by third-party components or misuse.

7. CONFIDENTIALITY

Each Party shall keep confidential all non-public information received from the other Party in connection with this Agreement, shall use it only for the purposes of this Agreement, and shall not disclose it to third parties without prior written consent, except where disclosure is required by applicable law.

8. WARRANTIES

The Developer performs the services with professional care but does not guarantee that the software is free of vulnerabilities, or that it meets any specific security standard or regulatory requirement (including data protection, accessibility or industry-specific regulation), unless expressly agreed separately in writing.

9. TERMINATION

Either Party may terminate this Agreement by giving 30 days written notice. Work performed and expenses incurred up to the effective date of termination remain payable.

Either Party may terminate this Agreement with immediate effect if the other Party materially breaches it and fails to remedy the breach within a reasonable period after written notice.

10. GOVERNING LAW

This Agreement is governed by the law agreed by the Parties: —. The Parties will first attempt to resolve any dispute amicably.

11. ENTIRE AGREEMENT

This Agreement contains the complete understanding of the Parties on its subject matter. Amendments must be made in writing. If a provision is or becomes invalid, the remaining provisions stay in force.
