1. PURPOSE
The Receiving Party agrees to treat as confidential all information disclosed in connection with the following purpose: —.
2. CONFIDENTIAL INFORMATION
Confidential Information includes business plans, trade secrets, customer data, financial data, pricing, technical information and any other non-public information disclosed in written, oral, electronic or any other form.
3. OBLIGATIONS
The receiving party shall hold Confidential Information in strict confidence, use it solely for the stated purpose, and not disclose it to any third party without prior written consent. Disclosure is permitted to employees and advisers who need to know the information for the stated purpose and who are bound by equivalent confidentiality obligations.
4. EXCLUSIONS
Confidential Information does not include information that: (a) is or becomes publicly available without breach of this Agreement; (b) was lawfully known to the receiving party before disclosure; (c) is lawfully received from a third party without confidentiality obligations; or (d) is independently developed without use of the Confidential Information. Disclosure required by law or by a competent authority is permitted, provided the disclosing party is notified where legally possible.
5. TERM
The confidentiality obligations under this Agreement remain in effect for 3 years from the Effective Date.
6. RETURN OR DESTRUCTION
Upon written request, the receiving party shall promptly return or destroy all Confidential Information and copies thereof, except where retention is required by law.
7. GOVERNING LAW
This Agreement is governed by the laws applicable in —. The parties shall attempt to resolve disputes amicably before pursuing other remedies.
