This Agreement is entered into as of — between — (the "Assignor") and — (the "Assignee") concerning the assignment of the intellectual property rights described below.
1. ASSIGNMENT OF RIGHTS
The Assignor irrevocably assigns to the Assignee, to the extent transferable under applicable law, all of the Assignor's right, title and interest in and to the intellectual property described above, including the following categories of rights:

2. REPRESENTATIONS
The Assignor represents that the assigned work is the Assignor's own original creation and that, to the Assignor's knowledge, it does not knowingly infringe the rights of any third party.
3. FURTHER ASSURANCE
The Assignor agrees to sign any further documents and take any further steps reasonably requested by the Assignee to give full effect to this assignment, including before national or international IP registries where applicable.
The Parties acknowledge that formal requirements for the valid transfer of certain intellectual property rights (such as registration, notarisation or specific written form) may vary by jurisdiction and by type of right. This Agreement does not guarantee automatic compliance with such requirements, and the Parties remain responsible for completing any additional formalities required where the assigned rights are used or registered.
